Corporate Lawyers: Interested In Forming Delaware LLCs?
The following is a letter to members of the Bar from attorney John Cunningham. Last year, I wrote a long book with Delaware business litigator Vern Proctor on how to form LLCs under the Delaware Limited Liability Company Act, and Aspen Law & Business published the book earlier this year.
I would like to offer a free three-hour seminar for NH lawyers on why and how to form Delaware LLCs and the McLane firm in which I am of counsel has offered to sponsor the seminar for CLE credit and to host it at its Manchester office. I believe such a seminar would be useful to attendees and might provide me with much-needed feedback.
The seminar would address, among other issues, when to form LLCs under the Delaware LLC Act rather than the NH LLC Act; the principal pitfalls in negotiating and drafting Delaware LLC agreements; and when to use Delaware series LLCs.
